TERMS AND CONDITIONS OF EDENTA.EU ONLINE STORE

§ 1 General Provisions

  1. The online store edenta.eu, available at www.edenta.eu and www.e-denta.eu, is operated by Wojciech Maciałek conducting business under the name Denta Wojciech Maciałek, registered in CEIDG, VAT ID: PL7922226259, REGON: 360138449.

  2. The Store is intended primarily for entrepreneurs, dental professionals, medical professionals, clinics and entities making purchases in connection with their professional or business activity.

  3. These Terms and Conditions define the rules for using the Store and the terms of distance sales agreements between the Seller and Clients.


§ 2 Definitions

  1. Seller – Wojciech Maciałek conducting business under the name Denta Wojciech Maciałek.

  2. Client – an entrepreneur, dental professional, medical professional, clinic or other entity purchasing Products in connection with professional or business activity.

  3. Entrepreneur – an entity within the meaning of Article 43¹ of the Polish Civil Code.

  4. Store – the online store operated by the Seller at www.edenta.eu and www.e-denta.eu.

  5. Product – goods intended primarily for professional use.

  6. Distance Agreement – an agreement concluded without the simultaneous physical presence of the parties.

  7. Terms and Conditions – these Terms and Conditions.

  8. Order – Client’s declaration of intent to conclude a Sales Agreement.

  9. Account – Client’s account in the Store.

  10. Order Form – form enabling the placement of an Order.

  11. Shopping Cart – Store feature allowing the selection of Products.

  12. Sales Agreement – an agreement for the sale of Products concluded between the Client and the Seller.

§ 4 Technical Requirements

  1. To use the Store, the following are required:

• a device with Internet access,
• an active e-mail account,
• an internet browser,
• cookies enabled.


§ 5 General Information

  1. All Products offered in the Store are intended primarily for professional use.

  2. The Seller reserves the right to verify whether the Client is authorized to purchase professional dental or medical Products.

  3. The Seller may request documents or information confirming the Client’s professional status before processing or completing an Order.

  4. The Seller reserves the right to refuse the sale of selected Products requiring professional authorization if the Client fails to provide sufficient verification documents.

  5. The Seller is not responsible for the Client’s manner of using the Products.

  6. Prices displayed in the Store include VAT applicable in the country of delivery, unless stated otherwise.

  7. VAT rates are calculated in accordance with applicable European Union VAT OSS (One Stop Shop) regulations.

  8. Clients providing a valid intra-Community EU VAT number verified in the VIES system may be eligible for 0% VAT intra-Community supply transactions.

  9. Browsing the Store does not require an Account. Orders can be placed after creating an Account or by providing the required data.


§ 6 Account Registration

  1. Creating an Account is voluntary.

  2. Clients must provide true and complete billing, shipping and contact details.

  3. The Seller reserves the right to verify the Client’s status as a professional user, entrepreneur, clinic or medical professional.

  4. Verification may include requesting documents confirming professional authorization, business activity or medical qualifications.

  5. Providing an EU VAT number is optional unless required for intra-Community 0% VAT transactions.

  6. In case of invalid or inactive EU VAT numbers, the applicable VAT rate of the delivery country will be charged.

  7. Login is via the credentials provided during registration.

  8. Deleting an Account is possible by sending a request to the Seller.


§ 7 Placing Orders

  1. Orders are placed via the Order Form.

  2. By placing an Order, the Client confirms acting in connection with professional or business activity and accepts these Terms and Conditions.

  3. The Sales Agreement is concluded upon confirmation of the Order by the Seller.

  4. The Seller reserves the right to refuse or cancel an Order if the Client fails to confirm professional status when requested.


§ 8 Delivery and Payment

  1. Delivery is made within the European Union.

  2. Delivery costs are borne by the Client unless otherwise stated.

  3. Failure to collect a shipment will result in the Client covering the return shipping costs.

  4. Accepted payment methods include bank transfer, electronic payments and credit/debit cards.

  5. VAT rates applied to Orders depend on the country of delivery and the tax status of the Client.

  6. For Clients located within the European Union:

• local VAT rates of the destination country may apply under the VAT OSS system,
• 0% VAT intra-Community supply rules may apply when the Client provides a valid EU VAT number successfully verified in the VIES system.

  1. The Client is responsible for providing correct invoicing and tax information.


§ 9 Execution of the Sales Agreement

  1. The Sales Agreement is concluded upon confirmation of the Order.

  2. Delivery time is up to 10 business days unless otherwise stated.

  3. The Seller reserves the right to cancel an Order in case of non-payment, lack of Product availability or inability to verify professional status.


§ 10 Returns

  1. As part of the Seller’s commercial policy, the Seller may accept returns within 30 calendar days from receipt of the shipment.

  2. This provision does not constitute a consumer right of withdrawal under consumer protection laws.

  3. Return is possible only after notifying the Seller by email or in writing.

  4. Products must be returned in their original condition and packaging unless the nature of the Product prevents this.

  5. The Client bears the cost of return shipping.

  6. Refunds will be made after the Seller receives the Product or proof of shipment.

  7. Medical, disposable, sterile and sealed Products cannot be returned after opening for hygiene and safety reasons.

  8. The Seller reserves the right that the return does not affect the limited liability applicable in B2B transactions.

  9. Products ordered on special request, custom-made products, non-standard imported products and products brought specifically for the Client are non-returnable unless they are defective or inconsistent with the Order.

§ 11 Complaints and Warranty

  1. Complaints should be submitted in writing or by email.

  2. The Seller’s liability under warranty is limited to replacement, repair or refund of the Product value.

  3. The Seller excludes liability for indirect damages, consequential damages and lost profits to the maximum extent permitted by law.

  4. The Seller’s total liability arising from a Sales Agreement shall not exceed the value of the Order.

  5. Complaints are processed within 30 business days.


§ 12 Personal Data

  1. The Seller is the administrator of personal data.

  2. Personal data is processed for the purpose of executing Orders, payment processing, delivery, professional verification and compliance with legal obligations, in accordance with the Privacy Policy and applicable GDPR regulations.


§ 13 Final Provisions

  1. Orders may only be placed by persons or entities acting in connection with their professional or business activity.

  2. The Seller issues invoices in accordance with applicable Polish and European Union tax regulations, including VAT OSS regulations for cross-border transactions within the European Union.

  3. Matters not regulated herein are governed by the laws of the Republic of Poland, in particular the Polish Civil Code.

  4. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

  5. These Terms and Conditions are available in multiple language versions for informational purposes. In case of discrepancies, the English version shall prevail unless mandatory local law provides otherwise.
